Korean Air and Asiana Airlines are set to complete their merger on December 17, 2026, after receiving approval from their respective boards. The integration aims to create a leading airline group in South Korea, elevating the nation's aviation profile in the global market. Korean Air will absorb all assets, liabilities, and employees of Asiana Airlines, with plans to gradually phase out the Asiana brand following the completion of the deal.

The merger process has involved submission to the South Korean Ministry of Land, Infrastructure and Transport, and amendments to existing operational permits are underway to incorporate Asiana's aircraft and safety systems into Korean Air’s air operator’s certificate. Under the agreed merger ratio, each Korean Air share will be exchanged for approximately 0.2736 Asiana Airlines shares, resulting in a capital increase valued at roughly USD68.3 million.

This consolidation follows a government-backed stabilization effort during the COVID-19 pandemic, which included an injection of funds into Asiana Airlines. Korean Air intends to acquire the remaining 36.1% stake in Asiana Airlines in the second quarter of 2026, with plans to gradually retire the Asiana brand and integrate operations fully. Regulatory consultations include ongoing discussions with the Korea Fair Trade Commission regarding frequent-flyer program integration.

The merger is expected to bolster Incheon International Airport’s role as a major global hub, supported by upgrades to Korean Air's operational infrastructure, including renovations and expansions at facilities in Seoul. The combined entity aims to enhance its network connectivity and transit efficiency, positioning itself for future growth in the competitive aviation landscape.
