US lessor Air Transport Services Group (ATSG) has announced its intention to acquire Omni Air International (OY), a passenger charter carrier operating out of Tulsa International Airport. The sale, pending regulatory approval, aims to enhance ATSG's core focus on air cargo transportation, aircraft leasing, and related services.
Omni Air International operates a fleet of 14 aircraft, comprising three B767-200(ER)s, eight B767-300ER)s, and three B777-200ER)s, with most owned by ATSG through its leasing subsidiary Cargo Aircraft Management. The company also serves the passenger ACMI and charter markets, which ATSG plans to develop further.
Strategic shift towards cargo operations
Following the acquisition, ATSG intends to concentrate on its expanding portfolio of cargo and logistics services. The transaction is expected to close in the fourth quarter of 2026 or early 2027, subject to regulatory approval. ATSG, which was acquired last year by Stonepeak for approximately USD 3.1 billion, also owns airlines ABX Air and ATI, among other aviation services

The sale of Omni Air International marks a significant transition for the airline as it moves toward focusing on its established passenger and cargo markets, while ATSG consolidates its position as a leading provider of air cargo logistics and aircraft leasing solutions.
